Survdd Vendor Marketplace Agreement

This Vendor Marketplace Agreement (“Vendor Agreement”) applies to every person or business that creates or operates a vendor account on Survdd. It supplements the Survdd Terms of Use and Privacy Policy. By registering as a vendor, accepting this Vendor Agreement, submitting a vendor application, or continuing to use vendor tools after an update becomes effective, you agree to these terms.

1. Eligible vendor types

Survdd’s Mobile, Alabama pilot is designed for independent Food Trucks and eligible Home-Based Food Vendors. Survdd does not currently onboard conventional restaurants or commercial-kitchen vendors as a separate marketplace category. Survdd may approve, reject, suspend, or discontinue a vendor account when necessary to enforce marketplace rules, protect users, address safety or fraud concerns, or comply with law.

2. Independent business relationship

You operate an independent business. Nothing in this Vendor Agreement creates an employment, agency, franchise, partnership, joint venture, fiduciary, or landlord-tenant relationship between you and Survdd. You control your food preparation, pricing, menu, availability, staffing, fulfillment, delivery operations, schedules, and business practices, subject to applicable law and Survdd marketplace rules.

3. Licenses, permits, training, and legal compliance

You are solely responsible for determining and maintaining every license, permit, registration, inspection, food-safety credential, business license, tax registration, label, insurance policy, commissary arrangement, location authorization, and other approval required for your operation and the products you sell. Survdd’s review of a document is an internal marketplace control and is not a government approval, inspection, legal opinion, or guarantee of continuing compliance.

You must promptly update Survdd if a required credential expires, is suspended, is revoked, is materially changed, or no longer applies to the products or locations you use.

4. Home-Based Food Vendor rules

Home-Based Food Vendors may list only products that are legally eligible for direct-to-consumer sale from their operation. For the Alabama pilot, Survdd requires product ingredient information and eligibility attestations and may block products that contain meat, poultry, or fish or that require time or temperature control for safety. Certain preserved, fermented, freeze-dried, acidified, or similar products may require additional verification by an appropriate processing authority or health authority before sale.

You are responsible for all required cottage-food labeling, including any legally required operation name/address, ingredient list, health-department disclosure, allergen disclaimer, and other required information. Survdd’s privacy treatment of a home pickup address does not change any separate legal labeling requirement that applies to the physical food product.

5. Food Truck rules

Food Truck vendors must maintain the health-department, business, fire, zoning, commissary, servicing-area, event, parking/location, and other approvals that apply to their operation. A Survdd live-location post is not permission to vend at a location. You may use the Go Live feature only while you are actually authorized and prepared to serve or accept orders at the posted location.

6. Listings, menus, allergens, and inventory

You are responsible for the accuracy of your business information, menu names, photos, descriptions, ingredients, allergen notes, prices, quantities, preparation times, delivery fees, minimums, order limits, schedules, drop windows, pickup instructions, and other vendor-provided information. You must not make false health, dietary, regulatory, origin, or ingredient claims. You must promptly mark unavailable products unavailable.

7. Orders and fulfillment

You agree to monitor your Survdd orders and fulfill accepted paid orders accurately, safely, and within the displayed pickup, delivery, or drop window. Vendor-provided delivery is performed by you or your authorized personnel, not by Survdd. You are responsible for delivery personnel, vehicles, insurance, routing, food temperature, customer communication, and compliance with applicable law.

8. Stripe Connect and automatic payouts

Survdd uses Stripe Connect for vendor payout onboarding and automatic payment routing. You must complete Stripe’s onboarding and keep the connected account eligible for payouts before accepting paid orders. Stripe may require identity, business, tax, bank-account, or other information directly from you. Survdd does not store your complete bank-account credentials.

For standard Survdd transactions, the customer payment is processed through the Platform and the vendor share is routed to the connected Stripe account. Stripe controls payout timing, verification requirements, reserves, processing restrictions, and other payment-provider functions. You are also bound by the agreements that apply to your Stripe connected account.

9. Survdd commission

Survdd’s standard launch commission is 10% of the food subtotal for each successfully paid order unless a different rate is clearly agreed in writing. The commission is vendor-side and is not added to the customer as a Survdd service fee. Vendor-provided delivery fees are not included in the 10% food-subtotal commission unless Survdd later changes the fee model through a disclosed update.

Stripe/payment-processing fees, refunds, disputes, chargebacks, taxes, adjustments, and reserves may affect the amount ultimately deposited to your bank account. Survdd’s dashboard payout figures are operational estimates; Stripe and the parties’ accounting records control final reconciliation.

10. Refunds, cancellations, and disputes

You are expected to address ordinary order problems with the customer first. When a customer escalates an order, Survdd may review the order record, communications, payment information, safety concerns, and other relevant information and may approve a full or partial refund, credit, account restriction, or other marketplace remedy. Survdd has final marketplace authority over support resolutions made through the Platform.

If Survdd issues a refund on a destination charge, the related vendor transfer and application fee may be reversed proportionally through Stripe. You authorize Survdd and its payment provider to make transaction adjustments reasonably necessary to complete an approved refund, respond to a dispute, correct an error, or protect the marketplace.

11. Taxes

You remain responsible for your business’s tax registrations, returns, income reporting, and tax obligations except to the extent applicable law expressly requires Survdd, as a marketplace facilitator or other marketplace operator, to collect or remit a transaction tax on marketplace sales. You agree to provide information reasonably requested for marketplace tax compliance and acknowledge that Survdd may calculate, collect, withhold, report, or remit taxes when required by law.

12. Customer information and privacy

You may use customer information received through Survdd only to fulfill the order, provide customer service, meet legitimate recordkeeping requirements, or comply with law. You may not sell customer information, add a customer to unrelated marketing lists without proper consent, publicly disclose private order information, or use customer data for harassment, discrimination, fraud, or other unauthorized purposes.

13. Reviews and marketplace integrity

You may not buy, fabricate, manipulate, retaliate over, or condition service on reviews. You may not create customer accounts to review your own business or pressure a customer to remove an accurate review. Survdd may moderate content that violates marketplace rules while preserving legitimate customer feedback.

14. Safety incidents and cooperation

You must promptly cooperate with reasonable Survdd requests involving suspected foodborne illness, allergen incidents, permit questions, fraud, payment disputes, recalls, customer safety, or regulator inquiries. Survdd may temporarily hide products, close ordering, suspend a vendor, or request updated documentation while a credible concern is reviewed.

15. Intellectual property

You retain ownership of your business name, logo, photos, menu text, and other vendor content that you lawfully own. You grant Survdd a non-exclusive, worldwide, royalty-free license to host, reproduce, resize, format, display, distribute, and promote that content as reasonably necessary to operate and market the Survdd marketplace while your content is available through the Platform.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Survdd and its owners, officers, employees, contractors, and service providers from third-party claims, losses, liabilities, penalties, damages, and reasonable costs arising from your food, preparation, labeling, allergens, delivery, personnel, permits, taxes, business operations, content, infringement, violation of law, or breach of this Vendor Agreement.

17. Suspension and termination

Survdd may suspend ordering, hide listings, require re-verification, restrict payouts as permitted by the payment provider, or terminate marketplace access for material policy violations, expired or rejected compliance documents, suspected fraud, repeated non-fulfillment, serious safety concerns, abusive conduct, or legal requirements. Termination does not eliminate obligations connected to prior orders, refunds, chargebacks, taxes, records, or claims.

18. Changes; governing law; contact

Survdd may update this Vendor Agreement as the marketplace develops. Material changes may require a vendor to re-accept the updated agreement before using vendor tools. This Vendor Agreement is governed by Alabama law, except where federal law or non-waivable law applies. Legal questions or notices may be sent to legal@survdd.com.
